On June 22, 2016 Vanessa Schoenthaler of Sugar Felsenthal Grais & Hammer, LLP served on a panel that discussed SEC rules related to due diligence in Regulation D, Rule 506(c) private offerings regarding issuer obligations to verify that all investors in a Rule 506(c) offering meet the definition of "accredited investors." The panel also discussed best practices regarding the requirement that persons associated with the issuer and any intermediaries participating in the offering are not "bad actors."
